What are the rights and duties of the seller and buyer of the Goodwill ?<\/strong><\/h5>\n<p><strong>Ans. Meaning of Goodwill\u2014<\/strong>It may be &#8220;noted that the firm&#8217;s property generally includes goodwill so far as it exists and has exchangeable, value. The term Goodwill is no where defined in the Act. In Land Revenue Commissioner Vs. Matiar and Co., Lord Macnaugbten described it as a thing very easy to describe but very difficult to define. It may be the advantage which is acquired by a business beyond the mere value of the capital, stock, fund or property employed therein as a result of the general public patronage and encouragement that it receives from constant or habitual customers. The goodwill of a firm means tht whole advantage, whatever it may be of the reputation and connection of the firm which may have been built up by years of honest work or gained by,lavish expenditure of money. Goodwill represents business reputation which is a complex of personal\u00a0reputation, local reputations and objective reputation of the product of the business. Which one of those elements will predominate will depend on the facts and circumstances of each case. It may be noted that S. 14 of the Partnership Act makes it expressly clear that the Goodwill of the business of the firm is, in the absence of a contract to the contrary, deemed to be the property of the firm. The goodwill of a partnership, in so far as it has a pecuniary value, is partnership property unless the contrary can be shown. Hence, on the dissolution it should be included in the assets and brought into the common stock and person suing a share of partnership asset is entitled to a share in goodwill as well.<\/p>\n<p><strong>Whether Goodwill Survives on Death ?\u2014<\/strong>The old concept was that on the death of a partner, the goodwill of the firm survives to the surviving partners. But according to the provisions of Partnership Act it is a wrong notion that the value of the goodwill belongs to the survivors i.e., remaining partners. Now S. 14 of theAct makes it clear that goodwill is a property of the firm and like all other property it devolves upon the heirs of the deceased partner and the representatives of the deceased partner would be entitled to have the goodwill of the business and along with the other assets of the firm for the purpose of the division between the representatives of the deceased and surviving partners. Similar provisions apply in case of retirement of a partner. A partner on his retirement may get a share in the goodwill of the firm. Thus, it can be concluded that on the death or retirement of a partner, the goodwill of the firm does not survive to the surviving partners but it devolves on the legal heirs of the deceased in the case of death of a former partner and on the retirement of a partner, that retiring partner is entitled to a share in the goodwill of the firm.<!--nextpage--><\/p>\n<p><strong>Rights of Seller and Buyer of the Goodwill After Dissolution\u2014<\/strong>Regarding the rights of seller and buyer of Goodwill, S. 55 of the Act provides as under &#8211;In settling the accounts of a firm after dissolution, the goodwill shall, subject to contract between the partners, be included in the assets, and it may be sold either separately or along with other property of the firm. It may be noted that where the goodwill of a firm is sold after dissolution, a partner may carry on a business competing with that of the buyer and he may advertise such business, but subject to the agreement between him and the buyer, he may not \u2014<\/p>\n<p>(a) Use the firm name,<\/p>\n<p>(b) Represent himself as carrying on the business of the firm, or<\/p>\n<p>(c) Solicit the custom of persons who were dealing with the firm before its dissolution.<\/p>\n<p>Thus, from this provision it is clear that what are the rights of the seller are the duties of the buyer and what are the rights of the buyer are the duties of seller in case of sale of the goodwill after dissolution of the firm. Thus, the rights and duties of seller and buyer may be explained as fol lows \u2014<\/p>\n<p><strong>Rights of Seller of Goodwill or Duties of buyer of the Goodwill \u2014<\/strong>A seller of the goodwill is entitled to carry on a business competing with that of the buyer and he may advertise such business and the buyer is under a duty not to stop the seller from carrying on a business competing with that of the buyer and from advertising such business by the seller.<\/p>\n<p><strong>Rights of Seller of Goodwill or Duties of the Seller of Goodwill &#8211;<\/strong> The seller of goodwill is under an obligation not to use the firm name, not to represent himself as carrying on the business of the firm and not to solicit the custom of persons who were dealing with the firm before its dissolution; and the buyer has a right to check the seller if the breach is made by him.S. S5 (3), further clarities that any partner, alter dissolution, may make an agreement with the buyer of the goodwill that such partner shall not carry on the business similar to that of the firm in some specified locality or for some specified&#8217;period and such an agreement is fully valid inspite of the provisions of S. 27 of the Contract Act that an agreement in the nature of restraint in trade is void. But the requirement is that such restrictions must be the reasonableness of the restriction., must be judged by the character or nature of the business and its customers. Thus, where a partner of a firm manufacturing and selling bakelite goods, sold the business to other partner and agreed not to carry on a similar business for 3 years within the city of Bombay, the restriction was held to.be reasonable. On the contrary, whereby an agreement dissolving a firm of insurance agents, an outgoing partner was restrained from carrying on insurance business any where except In Karachi, the restriction was regarded as unreasonable.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Discuss the term &#8216;Goodwill&#8217; of a firm.
